In consideration of, among other things, allowing a user to use this website, whether as a buyer, seller or otherwise, the user agrees to and with ™TXT4U INC., to be bound by the terms and conditions set forth in this User Agreement.
General
Binding Agreement
This site is owned and operated by ™TXT4U INC. (referred to as SellBuyText). Terms and conditions for using this site are as stated here, these must be read before using this site. By using this site and it's featured tools, users of this website are bound by the terms, whether such use is as a buyer, seller, general user or otherwise. If you disagree with any of the terms posted here, you are requested not to use the site or any of the tools or information provided by this site. It is the responsibility of each user of this site to keep confidential their password used to access the site and tools, this information is not to be shared with or provided to anyone, and is only to be used by the registered user. Registered users should read our Privacy Policy regarding our collection, storage, and use of data submitted to this site. It is the responsibility of the user to obtain the required tools, software, and connection services to participate in the functions provided by this site, including all associated fees and maintenance as they come due or are required.
Changes to Terms
SellBuyText reserves the right to change the terms of this agreement at any time, including all services, features, tools, subscription offers, and privacy policy as deemed required by SellBuyText without prior notice. Changes will take effect immediately once posted to the site, it is the responsibility of the user to check these terms and conditions regularly for any changes as notification of such changes may not be directly sent to our site users. Use of the site after changes have been posted will be deemed as acceptance of the revised terms and conditions. SellBuyText also reserves the right to change, restrict access to, or suspend in whole or part any area of the site, without notice at any time.
Limited Right of Use
Much of the content displayed on this site, including text, images, software and embedded coding, data files and structure, trademarks and logos are the property of SellBuyText, its parent, affiliates or licensees, and will, in certain cases, protected internationally under copyright, trademark and other applicable laws. SellBuyText grants its users limited and nonexclusive right to access and download certain content from this site for their own personal and non-commercial use that is reasonable and necessary to use any of the services available on this website. Except as expressly authorized in these terms and conditions, the user may not modify, display, distribute, or reproduce any materials obtained from this site, or use this web site or any of the site elements for other than its intended purpose, and that you acknowledge that you do not obtain any rights of use, license or entitlement (except the limited right of use set forth above), or ownership of materials downloaded from this site under copyright law or otherwise. While users my browse the SellBuyText site and its links and are permitted to send links via e-mail and/or text message to the site and specific products to other interested person(s), they are not to present themselves as agents or representatives of SellBuyText or other user, are not permitted to request finders fees or other compensation form users, are not to engage in the collection of user information nor distribute information of such nature, nor are users permitted to link directly to the content(s) of this site from outside the SellBuyText web site.
Compliance with Laws
You, as a user of this site, whether as a buyer, seller or otherwise, assure SellBuyText that communications though this site comply with all applicable laws, statutes, ordinances, regulations and codes of practice in relation to your use of this website and in your interactions with SellBuyText, whether you are acting as a buyer, seller or otherwise and for greater clarity but without limitation to the above, in relation to any advertisement or listing you submit to SellBuyText, and that communications through this site will be solely for the purpose of determining a transaction, and shall not engage in communication that is harassing, demeaning, derogatory, or inflammatory by nature, nor should it be coercive or threatening, and that the language of the communication does not express a bias based on gender, race, age, religion, sexual orientation, ethnic background, or disability, nor contain language that is vulgar, profane, obscene, or otherwise offensive, and that all communications with SellBuyText, its representatives and members will be treated in the same regard and respect, and that SellBuyText may block communications through this site if the communications of the user are deemed inappropriate, without limitation to any other entitlements available to SellBuyText.
The user further assures the content and products submitted for advertisement on SellBuyText comply with legal requirements, is lawful to sell, does not encourage, promote, or endorse illegal activity, is not marketed where prohibited or special license to sell is required, has not been subject to recall and meets all safety standards set, does not make claim to medicinal benefits, is not a part of a financial scheme or MLM (multi-level marketing), and is not connected to or used for the illegal transfer of funds.
No Infringement of Third Party Rights
Users of SellBuyText may not use trademarks, logos, or other branding in their submissions without the express written consent of the owner, and must provide proof of consent and verification as to ownership to SellBuyText before inclusion in the advertisement. The user also warrants that the content submitted to SellBuyText website, including all text and images, are theirs to use and does not infringe upon copyright, trademark, or other intellectual property rights of third parties, is factual and accurate in its description, and does not contain false or misleading statements. The user understands that they may download images, text, or other content from this site, for personal use and reference only to enable the transaction, and that downloading this material does not give them permission or right to distribute, share, or use the materials in any other form, and the materials downloaded will not be collected and stored beyond the period of the original offer, and will not be archived in any other form. The user takes full responsibility for the content submitted to SellBuyText and associated sites and shall indemnify ™TXT4U INC., it's directors, officers, contractors, agents and employees on a solicitor-client basis and assumes full liability for actions arising from submissions made by the user, including but not restricted to legal fees. Content downloaded from this site remians the property of SellBuyText and/or the person(s) holding the original copyright for all images and intellectual property posted to the site and its associated links.
Independent of Agreement Between Buyer and Seller
SellBuyText is not a party to, or in any way involved in, any resulting transaction between buyers and sellers; SellBuyText has no control over the quality, safety or legality of the items advertised, the truth or accurancy of the advertisements, the ability of the sellers to sell, or the ability of the buyers to buy. While SellBuyText collects certain basic information, user authentication is difficult, therefor SellBuyText cannot verify or authenticate each user's purported indentity; SellBuyText cannot guarantee or otherwise ensure that a buyer or seller will actually complete a transaction in accordance with the agreed terms; SellBuyText shall have no loability whatsoever to the buyers or the sellers in relation to any such resulting transaction; certain taxes and government charges may be payable by a buyer and/or seller in relation to a particular sale and/or lease transaction and SellBuyText assumes no responsibility for payment of same; all risk in relation to any resulting transactions, including, without limitation, dealing with underage persons, foreigners or people acting under false pretences, resides entirely with the relevant buyers and sellers. The user understands that the Seller reserves the right to refuse or restrict sales without obligation to provide reason, and that some restrictions on the purchase may be set by the Seller regarding the territory or location, specific licensing or certification requirements, financing or payment method, delivery and/or transportation concerns, warranty and service, or other reason for restricting their offer. The Buyer cannot enforce the sale of any product(s) displayed on SellBuyText and understands that any transaction through this site must be mutual.
Prohibited Activities
Users of the SellBuyText site and its tools, services, resources or links shall not upload any content containing code or script that is potentially harmful to the structure and security of the site, shall not engage in practices of phishing, spamming, or direct solicitation of the site members, and shall not transmit the same through the tools provided on this site.
Monitoring
User activity my be monitored by SellBuyText and logged at any time without specific permission wherever SellBuyText deems necessary to preserve the integrity of its site, user information, database, or specific coding. SellBuyText does not monitor private communications except on the request of a user or other legal authority and that any monitoring shall be done without obligation and in SellBuyText's sole discretion.
Limitations of Liability
Users of SellBuyText site understand that transmission delays, omissions, inaccuracies, site interruptions, or other problem(s) may arise, and that product information for the advertisement may be inaccurately depicted as SellBuyText accepts the information 'as is' and as presented for insertion, and SellBuyText does not warranty results from use of this site, and does not warranty the accuracy, delivery, condition, or other aspect of the product(s) or service(s) offered through this site, and insertion of the advertisement is in no manner an endorsement of the product or service on behalf of SellBuyText. SellBuyText is not liable for among other things resulting from inaccurate representation, site outages, misrepresentation by user regarding the details of the transaction, lost funds, shipping/transportation costs, appraisals, licensing fees, duties or taxation.
For clarity and without limitation to the foregoing, SellBuyText, its directors, officers, parent, affiliates, employees, contractors and agents, expressly disclaim liability for any damages, claims or injuries, whether direct, special, indirect, punitive, consequential or otherwise, suffered by you or any other person relating in any way to:
Any actions taken in partial of full reliance on any information provided in this website;
Any errors, inaccuracies, inconsistencies or misstatements contained in this website;
The suitability for any purposes of anything contained on this website;
Computer viruses or delays or disruptions in transmission or operation in relation to this website;
Unauthorized use or reproduction of information on this website;
Any third party information, advice, products or services on this website or any linked sites.
Equipment to Use the Site
SellBuyText does not set the terms and fees for the equipment required to use this site, and SellBuyText is not responsible for the condition, maintenance, subscription fees, or replacement cost of the equipment required to enable transactions through this site, and SellBuyText does not sell nor provide the equipment required, and furthermore does not endorse or support any carrier or service.
Communications
SellBuyText provides communications tools through this site, these tools are intended only for the purpose of conducting the transaction between Seller and potential Buyers, SellBuyText does not assume responsibility for the language and opinions expressed in the individual communications between these parties. Communication tools provided by SellBuyText and its affiliates are protected by copyright and restricts the use of these tools to the user and administrators of the site, no unauthorized use will be permitted. SellBuyText does not warrant of otherwise guarantee these tools or their functions, compatibility with the users current equipment or service provider, disruption in service due to site outages or maintenance, or other circumstances that may interrupt the service provided by this site.
Independent Contractors - No Agency
You and SellBuyText are independent contractors, and no agency, partnership, joint venture or employment relationship is intended or created by this Agreement, regardless of whether you are a buyer, seller, general user or otherwise and SellBuyText, in providing its services, is not acting as agent on behalf of a buyer, seller or other person whatsoever.
Indemnity
You agree to indemnify and save harmless SellBuyText, its parent, subsidiaries, affiliates, directors, officers, employees, contractors and agents (the "Indemnified Parties"), from all and every manner of claims, suits, actions, expenses, damages and costs, including legal costs on a silicitor and client basis, suffered by an of the Indemnified Parties as a result of: a breach or misrepresentation, by you, of any of your obligations or representations and warranties contained in this Agreement; or your violation of the law or the rights of a third party.
Governing Law
If any dispute arises in relation to your use of this website or in relation to this Agreement, such dispute shall be governed by the laws of Alberta, Canada and your use of this website confirms that you agree to this and agree to attorn to the jurisdiction of the Courts of Alberta.
Interpretation
Any protective provision or limitation of liability of SellBuyText stated in this Agreement or elsewhere on this website shall be interpreted independently, notwithstanding any overlap or repetition, and shall be construed without limitation to any other protective provision or limitation of liability of SellBuyText contained herein. If any provision contained herein is held to be invalid or unenforceable, such provision shall be struck and the remain provisions shall be enforceable. Heading are for convenience of reference only and shall not affect the interpretation of a provision.
Confidentiality
Confidentiality cannot be guaranteed for transmission over the Internet. Internet transmissions are vulnerable to interception, use and/or alteration by persons other than the intended recipient. If you choose to communicate by Internet, you do so at your own risk.
Linked Websites
This website may contain links to other websites and other websites may link to this website with or without SellBuyText's knowledge or consent. SellBuyText has no control over such third party websites and assumes no responsibility or liability for the material on any such linked sites. As well, the linked sites shall not imply; an endorsement by SellBuyText of any product or service or third party referenced on such site; or any sponsorship, affiliation or association of SellBuyText with the owner of such linked site, or the creator, operator and/or sponsor of any products or services referenced thereon; and SellBuyText expressly disclaims any liability in relation thereto.
Breach
In the event you: breach any of your obligations contained in this Agreement; misrepresent any of your representations or warranties contained herein; otherwise violate the law or the rights of a third party for which SellBuyText may be held responsible, or financial loss or legal liabitilty for you, our users or us, then, without limitation to any other remedies available to SellBuyText herein or at law, SellBuyText may, in its sole discretion, immediately suspend any advertisement of yours and/or refuse to provide any further services to you.
